Abstract

This chapter examines a unique and advanced instance of early 20th-century corporate governance in East-Central Europe: the 1926 shareholders’ agreement of the Renner Leather Factory (subsequently referred to as Dermata) in Cluj. The founding families created a private legal system to keep their groups together and maintain strategic control during major political and territorial changes, such as the fall of the Austro-Hungarian Empire and the addition of Transylvania to Romania. The agreement, signed by members of the Farkas, Hecht, and Renner families, set rules for how to vote, how to transfer shares, how to choose leaders, and how to settle disputes. It put in place systems like bearer share deposits, fiduciary discipline, hand pledges, and arbitration to lower the risks of ownership dilution and political uncertainty. These arrangements worked with and sometimes outside of formal corporate law. This case provides a unique insight into how business elites employed legal ingenuity to maintain influence, cohesion, and continuity in a volatile geopolitical environment.
