Abstract
Flexible provisions of the UK Corporate Governance Code are considered to be one of the basic patterns in the field of ‘soft law’ regulation implemented by self-regulatory markets all over the world. The afore mentioned recommendations are combinations and extensions of former self-regulatory steps en route to a responsible system of corporate conduct. Experience indicates that corporate frauds and crisis enhanced motivation and activity of professional committees involved in rule-making processes. Notwithstanding, only time will tell whether the non-mandatory level of regulation will stand the test of the markets, or will be replaced by other regulatory efforts.
